Subcontractor & vendor terms

Each C2C engagement uses Anthology’s Subcontractor Services Agreement and a Schedule 1 that names the assignment, consultant, location, start date, term, rate, payment date, timesheet process, insurance requirements, and any client flow-down terms. We keep a copy for at least four years and provide one on request.

Your company is responsible for its consultants, including:

• wages, payroll taxes, and benefits for your own employees;
• verifying authorization to work in the United States (including Form I-9 where required); no personnel in B-1 visitor status;
• written notice to Anthology at least 30 days before any consultant’s work authorization expires, and immediately if it is denied or changes;
• accurate resumes, identity, and qualifications. Clients may verify identity, including by requiring video during interviews and meetings.

Our clients’ contracts often require their vendors’ consultants to sign confidentiality agreements, follow security and acceptable-use policies, complete training, and pass background screening. These are listed in Schedule 1 and apply to you and your consultants.

Anthology pays each valid invoice, supported by client-approved timesheets, on the date stated in Schedule 1 or, if none is stated, within 30 days of receipt. We will not ask you to accept less, or do more, as a condition of timely payment.

You maintain the coverage required by the client agreement (typically general liability, professional liability or errors and omissions, and workers’ compensation where applicable), naming Anthology and, where required, the client as additional insureds.

Work product created for a client belongs to Anthology or the client as the client agreement requires. Client data, code, and confidential information may be used with generative AI tools only if Anthology and the client have approved them in writing.

During an engagement, please do not offer the same client the same engagement directly or through another vendor without our written consent. Any post-engagement restrictions apply only as far as the law allows; in California and similar states they are limited to protecting trade secrets.
